Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Exact Cabinets Ltd. ("CabShopSoft", "we", "us") governing your access to and use of the CabShopSoft platform and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

CabShopSoft provides software for cabinet shops and dealers to manage quotes, jobs, production, CRM, invoicing, inventory, field work, and related operations, plus optional add-ons such as CabinetForge. We may add, change, or discontinue features over time.

You agree not to: (a) reverse engineer, resell, or misuse the Service except as permitted; (b) attempt to gain unauthorized access to the Service or other users' data; (c) interfere with or disrupt the Service; or (d) use the Service to build a competing product.

6. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by CabShopSoft and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

7. Third-party services

The Service integrates with third-party providers (for example, payment, email, hosting, and optional AI providers). Your use of those integrations may be subject to the third party's own terms, and we are not responsible for third-party services.

8. Availability & disclaimers

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Except to the extent prohibited by law, the Service is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for maintaining your own backups of critical data.

9. Limitation of liability

To the maximum extent permitted by law, CabShopSoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnity

You agree to indemnify and hold CabShopSoft harmless from claims arising out of your Customer Data or your use of the Service in violation of these Terms or applicable law.

11. Suspension & termination

We may suspend or terminate access for material breach of these Terms, non-payment, or to protect the Service or other users. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Alberta will have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your place of residence.

13. Changes & contact

We may update these Terms from time to time; material changes will be posted here with a new "Last updated" date, and continued use of the Service constitutes acceptance. Questions about these Terms:
